1, Salary
Monthly salary will be paid in arrears on or about 30th of each calendar month. In your case the salary would consist of

2, Salary Review,
Your basic salary will be reviewed annually in relation to market trends and your performance.
3,Medical Facility,

4,End of Service Benefits,
You will be entitled to receive End of Service Gratuity in accordance with the provisions under United Kingdom
Labour Law, provided you have been in continous service with the agency for a period of not less than one year.
5,Taxation,
Tax is 11.5% of your basic salary
6,Incentive Schemes,
You may, entirely at our discretion, also be entitled to incentive payments,based on rates and business achievement criteria, which will be decided and advised by us from time to time.
7,Hours of Work,
You will work such hours as are necessary for proper performance of your duties with a maximum of 48 hours
a week.

8,Probation Period,
You will be employed on a six months probationary period and your confirmation will be dependent upon your performance during this time ,during your probationary period you will be subject to one day notice on
either side.

9, Notice,
Your contract of employment will be subject to one month notice of termination by either the Company or yours-
elf, unless termination is on the grounds of serious misconduct where such termination will be with immediate
effect.
10,Annual Leave,
Your leave entitlement will be 30 calendar days per annum and you will be expected to take leave during leave during the year that it is earned .This will be prorated as appropriate .
11,Leave Fare,
We will pay leave fare equivalent to return excursion economy airfare from London to the international airport nearest to your hometown, once every one year for yourself only. This will however, be subject to a maximum limit of £ 1,700/.The one year period will follow the anniversary of employment, Leave will be paid only when annual leave (as per 10 above) is availed.

12,Position,Desciption and Duties,
Oversees the indoctrination of project personnel in the intricacies of the CARRINGWORTH materials system and directs the on-going materials effort. Serves as the primary liaison between the Project Manager and the Materials Supply Organization in all facets of materials support. Coordinates the development and implementation strategy for the supply of material in a variety of contracting situations, i.e. lump- sum turnkey, reimbursable cost, etc.
Conducts frequent materials coordination meetings with project management personnel to alert them to existing or potential problems relative to materials availability. Coordinates and expedites requisition preparation consistent with project fabrication, construction and on-stream dates etc.Prepares and validates forecasts for materials tonnage and highlights special transportation requirements for oversize or heavy- lift handling

13,Non-competition,
Except with the written consent of the Company, you will not during your employment be directly or indirectly engaged, concerned, or interested in any other trade,business or occupation whatsoever, other than the business of the agency, which may, in the opinion of the management,preclude you from carrying out your duties efficiently or which may be detrimental to the interests of the agency or its principals.
14,Conflict of Interest,
During your employment you shall not introduce any other person, firm, company or organization business of any kind with which the agency is able to deal with and you will not have any financial interest in or derive any financial or other benefit from contracts or transactions made by the Company with any third party without first disclosing such interest or benefit to the Board and obtaining its approval thereto.

15,Confidentiality,
You will not, either during the continuance of your employment of thereafter, use to the detriment or prejudice of the Company or its principals ,divulge to any person any trade secret or other confidential information
concerning the business or affairs of the Company or any of its principals,which have come to your knowledge
during employment.
In the event of cessation of your employment for whatever reason you will return to the Company any
papers relative to the Company’s affairs which might be in your possession and acceptance of this offer
constitutes an undertaking that you will not remove or photocopy any such papers for your subsequent use. You
will also during the continuance of your employment comply with the terms of the Data Protection Act.

16,Non-solicitation,
You shall not at any time during your employment with the Company or for a period of twelve after terminating

your employment with the Company, either on your own or for any other person or body corporate or
unincorporated , induce or seek to induce any person who now is or at any time during or at the date of
termination of your employment may have become an employee of the Company ,to leave the service of the
Company.

17,Copyright,
You must promptly disclose to the Company all copyright works originated by you alone or with others and
hereby assign them to the Company (except those works made by you wholly unconnected with your employment). At the Company’s request you must do all things reasonably necessary to enable the Company to obtain ,defend or enforce its rights in relation to copyright and other proprietary rights.
18,Mobilization:
The first monthly salary shall be paid in advance before you embark on your journey to assume duty, after the
British Home Office has approved your work permit application. This is to enable you settle all domestic needs before travel.
19,Acceptance,
I shall be pleased to clarify any aspect of the contents of this letter and thereafter if the terms of your employment are acceptable.I shall be grateful if you will sign and return the enclosed copy of this lettter signifying your acceptance to the terms offered within four days from the date of this letter.

BETWEEN TOYOTA MOTORS COMPANY LONDON AND GLOBAL RECRUITMENT AGENCY, EXPATRIATE TECHNICAL SERVICES PROVISION FOR THE AGREEMENT

THIS AGREEMENT is made this between TOYOTA MOTOR COMPANY LODON UK incorporated under the Laws of UK (hereinafter called TOYOTA MOTOR COMPANY LONDON UK,
Expression shall where the context so admits include its successors-in-title and assigns) of the one part and GLOBAL RECRUITMENT AGENCY: with registered office at QUEENS AVE. DIST.2 House 233, Central Business District/Area, LONDON as first party (hereinafter referred to specifically as contractor and ………………… as second party and hereinafter jointly called “CONSULTANT of the other party; WHEREAS:
ARTICLE 1.

TOYOTA MOTORS COMPANY LONDON desires to secure the services of a competent contractor to provide expatriate environmental services and others as specified to first party contractor.

1.1 CONTRACTOR AND CONSULTANT represents to TOYOTA MOTORS COMPANY LONDON: that it has the technical competence necessary for carrying out all the services, duties and obligations specified in this contract on the part of CONTRACTOR to be assumed and performed and has agreed to carry out the same in accordance with the terms and conditions hereinafter set forth.
ARTICLE 2: CONTRACT PERIOD
The contract period shall be for Contract duration: The contract shall last for duration of (36) consecutive months; Three (3) years and could be renewed only if employer is satisfied with employee’s services.
ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS
3.TOYOTA MOTORS COMPANY LONDON, shall pay CONTRACTOR on satisfactory performance of the services stated in Article 1, through 1st party contractor the sum of GBP 10, 920 (Ten Thousand Nine Hundred And Twenty GBP only) monthly or Euros equivalent depending on employee’s home country.
3.2 TOYOTA MOTORS COMPANY LONDON shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.
3.3 Payments of undisputed invoices will be made by TOYOTA MOTORS COMPANY LONDON to the CONTRACTOR Monthly.
3.4 TOYOTA MOTORS COMPANY LONDON shall pay all of the fees in Article 3.1 in GBP or Euros equivalent depending on employees’ home country and shall be paid; 75% to an offshore account provided by contractor and 25% locally.
The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges: procurement of travel documents (flight tickets), immunizations etc. Reimbursements shall be made before employee’s embark on journey not later than Five (5) working days after submission of employee’s expense report and receipts, this after the acquisition of relevant traveling papers through their local representatives assistance from the GLOBAL TRAVEL AGENCY/MINISTRY OF WORKS IN UK.
Employer for each intercontinental trip shall pay GBP3, 520.00 flat rate travel/entertainment allowances to employee. Travel shall be by business class/first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase.
Employer shall also take care of employees’ travel ticket including that of employees’ family only on employees’ early notification to employer and as shall be requested by employee.

3.5 COMFIRMED EMPLOYEES
Confirmed employees are those employee’s that have successfully acquired and forwarded his/her necessary permits clearance papers to the employers’ management-duly certified by the GLOBAL TRAVEL AGENCY/MINISTRY OF WORKS (UNITED KINGDOM). Then they shall be entitled to article 3.0-3.4 above.
3.6 OTHER BENEFITS

Phones: the employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.
Local transportation: Shall be fully provided for employee and family by employer.
Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.
Employees’ shall be authorized three (3) times paid vacation during the term of the contract, to be used at the employees ‘discretion after duly informing and receiving approval from employer’s management. Employer will pay for travel expenses (i.e. flight tickets) and flat rate travel allowance of GBP3,520.00.

ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT/OTHER BENEFITS
4.1 Unless otherwise stated in a superseding document, the Contract Administrator of TOYOTA MOTORS COMPANY LONDON shall maintain general administration and management of the project and all progress reports should be addressed TOYOTA MOTORS COMPANY LONDON to him.
ARTICLE 5: ASSIGNMENT
5.1 The CONTRACTOR shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of TOYOTA MOTORS COMPANY LONDON, which consent shall not be unreasonably withheld. However, TOYOTA MOTORS COMPANY LONDON shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of TOYOTA MOTORS COMPANY LONDON or its co-venturer subject to prior written notification.
ARTICLE 6: INDEMNITY
The CONTRACTOR agrees to indemnify and hereby indemnifies TOYOTA MOTORS COMPANY LONDON in respect of all third party claims arising from the performance of this contract.
ARTICLE 7: FORCE MAJEURE
7.1 Not withstanding any thing herein stated, neither party should be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.
The term “Force Majeure” shall include but not limited to Act of God, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the CONTRACTOR’S personnel shall not be deemed to be included in this term.
7.2 If an interruption of work occurs as a result of “Force Majeure” for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in CONTRACTOR not being able to perform its duties for more than seven (7) days, then TOYOTA MOTORS COMPANY LONDON may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by TOYOTA MOTORS COMPANY LONDON and CONTRACTOR or to terminate the contract.
ARTICLE 8: TERMINATION
8.1 This Agreement may be terminated: –
(i) If the services stated in Article 1 and are not rendered satisfactorily.
(ii) If the duration of the Agreement stated in Article 2 expires and no extension has
been given.
(iii) Under Force Majeure as stated in Article 7.0

ARTICLE 9: DEFAULT OF CONTRACTOR
9.1 In the event of default by CONTRACTOR or non-compliance by CONTRACTOR with the terms and conditions of this Agreement, TOYOTA MOTORS COMPANY LONDON, shall give notice to CONTRACTOR specifying areas of default and CONTRACTOR shall have ten (12)-calendar days to rectify to TOYOTA MOTORS COMPANY LONDON, satisfaction, the said default(s) within ten (10) days of receipt of the notice, TOYOTA MOTORS COMPANY LONDON may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.
ARTICLE 10: ADDRESSES FOR NOTICE
All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.
